Terms of Service

1. What the Site Is Today

The Site is a marketing website and an early-access waitlist for a forthcoming product: an intelligent query router for fine-tuned small language models. We are not currently offering a live product, API, or hosted service to external users. Product-related statements on the Site describe our planned capabilities, not a product you can purchase or operate today. When we launch a live product, we will publish additional terms that govern its use; until then, these Terms cover only your use of the Site and the waitlist.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for business and professional users. By using the Site you represent that you meet these requirements.

3. Waitlist Submissions

When you submit your email to our waitlist, you authorize us to contact you about early-access availability, product updates, and launch announcements. You can unsubscribe at any time using the link in any email we send.

You agree to submit accurate information and not to impersonate any person or use an email address you are not authorized to use.

4. Acceptable Use

You agree not to:

• Use the Site in violation of any applicable law or regulation
• Attempt to interfere with, disrupt, or gain unauthorized access to the Site, our servers, or any associated systems
• Probe, scan, or test the vulnerability of the Site except under a written security-research agreement with us
• Scrape, harvest, or copy content from the Site in bulk for commercial purposes
• Submit automated waitlist entries or otherwise abuse our forms
• Use the Site to transmit malware or to send unsolicited communications
• Reverse engineer any portion of the Site or our systems

5. Intellectual Property

The Site and its content — including text, graphics, logos, images, and software — are owned by Dhisolve or its licensors and are protected by United States and international copyright, trademark, and other intellectual-property laws. “Dhisolve” and the Dhisolve logo are trademarks of Dhisolve Inc. You may not use our name, logos, or trade dress without our prior written consent. No right or license is granted to you except as expressly set out in these Terms.

6. Forward-Looking Statements

Descriptions of product capabilities, performance, cost savings, accuracy, and hallucination reduction reflect our current goals and development targets. They are not guarantees, warranties, or commitments of future performance. Actual performance of any future product may differ materially.

7. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DHISOLVE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DHISOLVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dhisolve and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Site.

10. Termination

We may suspend or terminate your access to the Site, or remove your email from the waitlist, at any time and for any reason, including if we believe you have violated these Terms. You may unsubscribe from the waitlist at any time using the link in any email we send.

11. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date above. If the changes are material, we will notify waitlist subscribers by email. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of- laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Massachusetts, United States, and you consent to personal jurisdiction in those courts.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dhisolve regarding the Site. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
